Terms of Service

1. Agreement to Terms

By accessing or using KLAR ("the Platform"), operated by EzeMind AI (Pty) Ltd ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree, you may not access or use the Platform.

2. Description of Service

KLAR is a cloud-based vertical accountability platform that enables organisations to cascade master task lists into auto-generated monthly plans, collect proof of completion, and provide leadership with real-time monitoring and AI-driven analysis. The Platform is provided on a software-as-a-service (SaaS) basis.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organisation you represent. By registering an account, you confirm that you meet these requirements.

4. Accounts and Access

  • You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
  • You must provide accurate and complete information when creating your account and keep it up to date.
  • We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.

5. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
  • Attempt to gain unauthorised access to any part of the Platform, its servers, or any connected systems.
  • Upload malicious code, viruses, or any content that could harm the Platform or other users.
  • Reverse-engineer, decompile, or disassemble any part of the Platform.
  • Use the Platform to store or transmit content that infringes on third-party intellectual property rights.

6. Subscription and Payment

  • Access to KLAR is provided under a paid subscription model. Pricing details are available on our pricing page.
  • All fees are quoted in South African Rand (ZAR) unless stated otherwise and are exclusive of applicable taxes (e.g. VAT).
  • Subscriptions are billed monthly or annually, depending on your chosen plan. You authorise us to charge your selected payment method on a recurring basis.
  • We reserve the right to change pricing with 30 days' written notice. Continued use after the notice period constitutes acceptance of the new pricing.

7. Data Ownership

You retain full ownership of all data, documents, and content you upload to the Platform ("Your Data"). We do not claim any intellectual property rights over Your Data. By using the Platform, you grant us a limited licence to host, process, and display Your Data solely for the purpose of providing the service to you.

8. Intellectual Property

The Platform, including its design, code, features, logos, and documentation, is the intellectual property of EzeMind AI (Pty) Ltd and is protected by South African and international copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, trade names, or branding without our prior written consent.

9. Service Availability and Support

  • We strive to maintain high availability but do not guarantee uninterrupted access. Scheduled maintenance windows will be communicated in advance where possible.

10. Limitation of Liability

To the maximum extent permitted by South African law, EzeMind AI (Pty) Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Platform. Our total aggregate liability shall not exceed the amount paid by you in subscription fees during the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless EzeMind AI (Pty) Ltd, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform or your breach of these Terms.

12. Termination

  • You may cancel your subscription at any time. Upon cancellation, your access will continue until the end of the current billing period.
  • We may suspend or terminate your access immediately if you breach these Terms or engage in conduct that we reasonably consider harmful to the Platform or other users.
  • Upon termination, you may request an export of Your Data within 30 days. After that period, we may delete Your Data from our systems.

13. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information in compliance with the Protection of Personal Information Act, 2013 (POPIA).

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or an in-app notification at least 14 days before they take effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of the Western Cape, South Africa.
